Merger by incorporation of Barbiflex S.r.l. into Pintex S.r.l. effective 01/01/2026
We inform Customers, Suppliers, Partners and Stakeholders that on 01/01/2026 will take effect the merger by incorporation of Barbiflex S.r.l. into Pintex S.r.l. Pursuant to Articles 2501 et seq. and 2504-bis of the Civil Code, all active and passive legal relations pertaining to Barbiflex S.r.l. continue without interruption under the incorporating company Pintex S.r.l., which assumes the new company name “Barbiflex S.r.l.”.
This strategic shift strengthens our industrial capacity, innovation and customer service in the nonwoven fabrics sector. We will continue to invest in quality, reliability and sustainability along the entire production chain.
The merger does not result in operational disruptions: orders, supplies, service and warranties follow smoothly. Pre-existing contracts, terms of sale/purchase, price lists, offers, and agreements remain valid, unless any updates are shared in writing.

Billing and documents:
From 01/01/2026 invoices will be issued by Barbiflex S.r.l. (C.F./P.IVA 08182960966).
Invoices with a date ≤ 31/12/2025 remain in the name of the previous parties according to the current rules.
Any accounting/tax backdating provided by the merger project does not change the operating procedures for Customers and Suppliers.
Staff and contacts:
All personnel continue their employment relationship in accordance with Article 2112 of the Civil Code. Commercial, technical and administrative contact persons remain unchanged. Current e-mail boxes and phone numbers continue to function; new domains/mails will be communicated as updates occur.
Privacy (GDPR):
Personal data processed by Barbiflex S.r.l. flows into Barbiflex S.r.l. (formerly Pintex S.r.l.) as the new Data Controller. Privacy Policy to the present link.
Operational FAQ
Does my company need to sign new contracts?
No. Existing contracts automatically continue with the incorporating company (Article 2504-bis Civil Code).
Will VAT number and tax data change for invoices from 01/01/2026?
Yes: as of 01/01/2026, invoices should be addressed to Barbiflex S.r.l. (C.F./P.IVA 08182960966).
Update the supplier/customer master data.
What happens to orders already confirmed?
They remain valid and will be processed without changes to the reported timelines, except in cases of force majeure.
Do price lists and trading conditions change?
They remain unchanged unless specifically agreed to in writing. Any updates will be communicated.
Do I need to change IBAN?
Use IBAN already in your hands for invoices with date ≥ 01/01/2026. Any transfers on old IBANs will be realigned avoiding disruption.
Should RUPs/portals of e-procurement and SDI be updated?
Yes, with the new business name and Tax/VAT Number 08182960966 and SDI Code BY5KTZZ, effective 01/01/2026.
How are personal data handled?
Flowing into the new Holder, in compliance with the GDPR.
Does the staff remain the same?
Yes. Relationships and protections continue ex art. 2112 c.c.; contact persons remain unchanged.
